1. 📌 Scope of Services
Moondria Technologies agrees to provide professional IT services including but not limited to:
- WordPress Development
- Shopify & E-commerce Solutions
- Custom Web Platforms
- Android & iOS App Development
- AI & Automation Integration
- Maintenance & Support Services
Detailed specifications will be defined in the approved proposal or quotation attached to this Agreement.
2. 💳 Payment Terms (International)
- Total Project Cost: $ ________ / € ________
- Advance Payment: ____% (Mandatory before project commencement)
- Remaining Payment: Due as per agreed milestones
Payments must be made via:
- International Bank Transfer
- SWIFT Transfer
- PayPal / Stripe (if applicable)
All international transaction fees and bank charges are the responsibility of the client.
Projects will not begin until the advance payment is received and cleared.
3. 🌐 Currency & Taxes
- All pricing for international clients is quoted in USD or EUR unless otherwise agreed.
- Clients are responsible for any local taxes, withholding taxes, or duties applicable in their country.
- Moondria Technologies is not responsible for tax compliance outside India.
4. 📅 Project Timeline

Project timelines depend on timely communication, approvals, and content submission from the client.
Delays caused by incomplete information or delayed feedback may affect delivery timelines.
5. 🔄 Revisions & Scope Changes
- Revisions are limited as per agreed package.
- Additional features or scope changes require written approval and revised quotation.
- Any major deviation from the original scope may affect pricing and timeline.
6. 🔐 Intellectual Property Rights
- Upon full payment, ownership of final deliverables transfers to the client.
- Moondria Technologies retains the right to showcase completed work in portfolio unless restricted by NDA.
- Third-party tools, themes, plugins, and licenses remain subject to their respective licensing agreements.
7. 🛡 Confidentiality
Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the project.
Separate NDA agreements can be executed if required.
8. 🚫 Cancellation & Refund
- Advance payments are non-refundable once project work has commenced.
- If the client terminates mid-project, charges apply for completed work.
- No refunds will be issued after final project approval and delivery.
9. ⚖ Limitation of Liability
Moondria Technologies shall not be liable for:
- Indirect or consequential damages
- Loss of revenue or business opportunities
- Data loss caused by third-party services
- Regulatory compliance issues in client’s country
Maximum liability shall not exceed the total project fee paid.
10. 🌍 Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of India.
Any disputes shall first be resolved through mutual discussion.
If unresolved, disputes shall fall under the jurisdiction of Mumbai, India.
International arbitration may be considered if mutually agreed in writing.
