1. 📌 Scope of Work

Moondria Technologies agrees to provide the following services:

☐ Maintenance Services

Detailed project specifications will be outlined in the approved proposal or quotation attached to this Agreement.

2. 💳 Payment Terms

Payments must be made according to agreed schedule.
Delays in payment may result in suspension of services.

5. 🧠 Client Responsibilities

The client agrees to:

  • Provide required content, images, and credentials on time
  • Review and approve deliverables promptly
  • Ensure legal compliance of provided materials
  • Make payments as per agreed schedule

6. 🔐 Intellectual Property

  • Upon full payment, ownership of final deliverables transfers to the client.
  • Moondria Technologies retains rights to display completed projects in portfolio unless otherwise agreed in writing.
  • Third-party tools and licenses remain subject to original provider terms.

7. 🛡 Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the project.

8. 🚫 Termination

Either party may terminate this agreement with written notice.

  • Work completed up to termination date will be billed.
  • Advance payments are non-refundable once work has started.

9. ⚖ Limitation of Liability

Moondria Technologies is not liable for:

  • Indirect or consequential damages
  • Data loss due to third-party hosting
  • Delays caused by client-side issues

Maximum liability shall not exceed the total project fee paid.

10. 🌍 Governing Law

This Agreement shall be governed by the laws of India.
Jurisdiction: Mumbai, India.
