This Enterprise Global Service Agreement (“Agreement”) is entered into between:

Collectively referred to as “Parties”.
1. 📌 Purpose of Agreement
This Agreement establishes the terms and conditions under which Moondria Technologies will provide enterprise-level digital engineering services to the Client, including but not limited to:
- Enterprise Web Platforms
- E-commerce Systems
- SaaS & Custom Applications
- Android & iOS Applications
- AI & Automation Integration
- Cloud Infrastructure Setup
- Maintenance & Support Services
Detailed specifications will be outlined in a mutually approved Statement of Work (SOW).
2. 📄 Statement of Work (SOW)
Each project phase shall be governed by a separate SOW including:
- Project scope
- Deliverables
- Milestones
- Timeline
- Payment schedule
- Technical requirements
In case of conflict, the SOW shall take precedence over general terms.
3. 💳 Commercial Terms

Payments must be completed within ___ days of invoice date.
Late payments may incur interest at ___% per month.
All international bank charges, taxes, and regulatory fees outside India are the responsibility of the Client.

Enterprise projects will include:
- Dedicated Project Manager
- Weekly/bi-weekly progress meetings
- Structured reporting
- Issue tracking documentation
- Change management protocol
5. 🔄 Change Management
Any modification to scope must follow:
- Written change request
- Cost and timeline evaluation
- Formal approval by both parties
No additional work will commence without documented approval.
6. 🔐 Confidentiality & Data Protection
Both Parties agree to:
- Protect confidential business information
- Use secure communication channels
- Comply with applicable data protection laws (including GDPR where applicable)
Moondria Technologies will implement reasonable technical and organizational security measures.
7. 🧠 Intellectual Property Rights
- All custom-developed deliverables become property of the Client upon full payment.
- Moondria retains rights to proprietary tools, frameworks, and reusable components.
- Third-party software remains governed by respective licensing agreements.
8. 🛡 Warranties
Moondria Technologies warrants that:
- Services will be delivered with reasonable skill and care.
- Deliverables will materially conform to agreed specifications for ___ days post-delivery.
This does not cover misuse, unauthorized modifications, or third-party interference.
9. ⚖ Limitation of Liability
Moondria Technologies shall not be liable for:
- Indirect or consequential damages
- Business interruption losses
- Loss of profits or revenue
- Cyber incidents beyond reasonable control
Total liability shall not exceed the total contract value paid under this Agreement.
10. 🌐 Compliance & International Regulations
Client is responsible for compliance with:
- Local laws and regulations
- Data residency requirements
- Industry-specific compliance standards
Moondria is not liable for regulatory violations outside its operational jurisdiction.
11. 🚫 Termination
Either Party may terminate:
- With ___ days written notice
- Immediately for material breach
Client must pay for all completed work up to termination date.
12. 🏛 Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of India.
Disputes shall first be resolved through negotiation.
If unresolved, arbitration in Mumbai, India shall apply unless mutually agreed otherwise.
